Terms of Service

npy.agency is a sole proprietorship based in Nevada, United States (“npy.agency,” “we,” “us”). These Terms govern your use of npy.agency's website, software, and AI lead engagement services (collectively, the “Service”).

By creating an account, booking a discovery call, or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.

You must be:

• At least 18 years old.
• A licensed real estate professional, or an authorized representative of a licensed real estate brokerage, in the United States.
• Authorized to enter into this agreement on behalf of yourself or your business.

We may decline to provide the Service to anyone for any reason that doesn't violate applicable law.

npy.agency provides AI-powered lead engagement for residential real estate agents. The Service includes (a) automated reply generation for inbound leads via Instagram DMs, SMS, and email, (b) qualification of leads through conversational AI tuned to your communication style, and (c) handoff of qualified leads to your CRM and calendar.

We don't guarantee specific business outcomes (lead volume, conversion rates, closed deals). AI responses are generated automatically and may occasionally contain errors; you remain responsible for the content sent on your behalf and for complying with applicable laws (including TCPA, fair housing, and real estate licensing rules).

Billing. The Service is offered on a monthly subscription basis. Pricing is custom-quoted per engagement and confirmed in writing before your first charge. Fees are charged in advance each billing cycle via Stripe.

Cancellation.You can cancel any time. Cancellation stops future billing; we don't prorate or refund the partial month already in progress.

You agree not to use the Service to:

• Send unsolicited messages outside the scope of a legitimate real estate lead-engagement relationship.
• Engage with contacts who have not opted in or who have opted out under TCPA, CAN-SPAM, or analogous laws.
• Discriminate against any protected class in violation of fair housing laws.
• Reverse-engineer, copy, or resell the Service or our prompts, models, or proprietary configurations.
• Attempt to access accounts, data, or systems that don't belong to you.

We may suspend or terminate access immediately for any violation, without refund.

You are the sender.npy.agency provides AI technology that drafts and sends messages on your behalf. You — not npy.agency — are the sender, caller, and advertiser of every message and call generated through the Service. For all legal and regulatory purposes, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, and state telemarketing laws, you are responsible for those communications.

Consent is your responsibility.You represent and warrant that you have obtained, and will maintain, all consent legally required to contact every lead you ask the Service to engage — including prior express written consent where the law requires it. You will not use the Service to contact anyone who has not opted in, or who has opted out.

Telecom and carrier registration. You are responsible for completing and maintaining any carrier or telecommunications registration required to send messages from your numbers, including A2P 10DLC brand and campaign registration, and any telemarketer registration, licensing, or bonding your state requires.

Real estate and fair housing. You will maintain your real estate license in good standing and ensure all messaging sent through the Service complies with fair housing laws and real estate advertising rules in your jurisdiction.

Recordkeeping and indemnification.You will keep accurate records of consent and compliance, and you agree to indemnify and hold npy.agency harmless from any claim, fine, or expense (including reasonable attorneys' fees) arising from your failure to obtain consent or comply with the laws in this section. These obligations survive termination of these Terms.

You retain ownership of contact data, lead conversations, and content you upload to or generate through the Service. You grant us a limited license to use that data only to provide the Service to you, improve quality and safety of the AI models we use, and comply with legal obligations.

We will never sell your data or your leads' data. Our data practices are described in our Privacy Policy.

We own all rights to the Service, including the software, AI prompts, models, integrations, design, and brand. Nothing in these Terms grants you any right to that intellectual property beyond the limited right to use the Service while your subscription is active.

The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

AI-generated content may contain factual errors. You are responsible for reviewing and approving messages, listings, and other AI-generated content before they are sent or published.

To the maximum extent permitted by law, our total liability to you for any claim arising from or relating to the Service is limited to the amount you paid us for the Service in the 12 months immediately preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost commissions, or lost goodwill.

You may cancel at any time from your account or by emailing team@npy.agency. We may terminate or suspend your access for breach of these Terms, non-payment, or to comply with legal obligations. On termination, your right to use the Service ends and we will delete or return your data per our Privacy Policy.

We may update these Terms from time to time. If a change materially affects your rights, we'll notify you by email or in-app at least 14 days before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction there.
